1Agreement to Terms

These Terms of Service ("Terms") govern your use of the services provided by OCTA EDITINGS LLC, trading as Wedwill ("Wedwill," "we," "us," "our"), including our website at wedwill.com and our client portal at portal.wedwill.com (together, the "Services").

By purchasing a service, submitting a request, or using the client portal, you ("Client," "you," "your") agree to these Terms. If you do not agree, do not use the Services.

Our Services are provided to professional wedding videographers and video production businesses. They are not offered to consumers seeking editing of their own wedding footage.

2Services we provide

Wedwill provides post-production video editing services, including:

• Wedding Highlight Edit — a cinematic highlight film of four to six (4–6) minutes
• Full Film Edit — a chronological documentary edit of up to thirty (30) minutes
• Ceremony Edit — a ceremony video of up to thirty (30) minutes, including multi-camera synchronisation
• Speech Edit — speeches and toasts of up to thirty (30) minutes
• Social Media Teasers — short-form and vertical (9:16) edits, where offered
• Wedwill Pro — a monthly subscription described in Section 6

All services include colour grading, sound mixing, one royalty-free music track licensed through Musicbed, the Adobe Premiere Pro project file, delivery for review via Frame.io, and three (3) revision rounds, unless stated otherwise.

Editing is performed in Adobe Premiere Pro. Music is licensed through Musicbed. You may supply your own music provided you hold a valid licence for its use.

3Pricing and payment

3.3 Payment terms

Payment for fixed-price services is due in full at the time the request is submitted. A matching purchased service must exist on your account before a request can be published into the production queue.

Subscription fees are billed monthly in advance. We may change subscription pricing with five (5) days' notice posted on our website.

If a payment fails, we will attempt to charge the payment method up to three (3) times. Your account may be suspended until payment is received.

Any dispute regarding a charge must be raised with hello@wedwill.com within fourteen (14) days of the charge.

4Trial Package

4.1 Eligibility

New customers may purchase one (1) Trial Package, consisting of a single Wedding Highlight Edit of four to six (4–6) minutes at the trial price of $199 USD. The Trial Package is available once per customer, on your first order only.

The Trial Package includes the same deliverables as the standard Wedding Highlight Edit: colour grading, sound mixing, one royalty-free Musicbed track, the Adobe Premiere Pro project file, and three (3) revision rounds via Frame.io.

4.2 Trial money-back guarantee

No refund is available once any of the following has occurred:

• a revision has been requested;
• the final video has been approved or downloaded; or
• seven (7) calendar days have passed since first draft delivery.

The money-back guarantee applies to the Trial Package only. It does not apply to any other fixed-price service, add-on, or subscription.

5Project queue, turnaround and delivery

5.1 Sequential processing

Requests are processed sequentially, not in parallel, for both fixed-price services and Wedwill Pro, so that a single editor carries your style consistently across your films.

• The first request enters production immediately.
• Each subsequent request enters production on the business day following delivery of the first draft of the request ahead of it. Its stated turnaround begins at that point, not on the date of submission.
• By way of example, three highlight edits submitted together are estimated to deliver at approximately fourteen (14), twenty-eight (28), and forty-two (42) business days from submission.
• Rush Delivery may be purchased on any individual request to reduce that request to seven (7) business days, which also brings forward the estimated dates of requests behind it in the queue.

We confirm an estimated delivery date for each request at submission.

5.2 Multiple requests and Enterprise Plans

A customer who requires several projects to be edited at the same time, or who anticipates sustained volume beyond three (3) highlight edits per month, may request an Enterprise Plan by emailing hello@wedwill.com before submitting the requests.

Enterprise Plans are scoped individually and may provide for parallel production across multiple editors, custom delivery scheduling, and volume pricing. The terms of any Enterprise Plan — including pricing, editor allocation, delivery estimates, and revision allowances — are set out in a separate written agreement, and take precedence over these Terms only to the extent expressly stated in that agreement.

Absent a signed Enterprise Plan, all requests are subject to the sequential queue described in Section 5.1.

Clients requiring a different delivery order within the queue must contact hello@wedwill.com before submitting; we will confirm in writing what is available.

5.3 Estimated turnaround times

5.4 When the clock starts

Turnaround begins on the first business day after the request is published and the footage link is accessible to us.

Turnaround does not begin, and is paused, while a Google Drive or Dropbox link is inaccessible, expired, or has downloads disabled.

Business days are Monday to Friday, excluding U.S. public holidays. Requests submitted after 3:00 PM Central Time on a Friday begin the following Monday.

5.5 Delivery dates are estimates

All delivery dates are good-faith estimates and are not guarantees. Late delivery does not entitle you to a refund, cancellation, price reduction, or other remedy, and does not constitute a breach of these Terms.

5.6 Delivery and acceptance

First drafts are delivered through Frame.io, where you may leave timestamped comments. Final video files and project files are delivered through the client portal following your approval. Approval constitutes acceptance of the work.

6Wedwill Pro subscription

6.1 What is included

Wedwill Pro is billed at $1,050 USD per month and includes three (3) wedding highlight edits per calendar month, each four to six (4–6) minutes in length, together with:

• a dedicated editor assigned to your account for the duration of your subscription;
• colour grading on every edit;
• three (3) revision rounds per project;
• Frame.io review, the Adobe Premiere Pro project file, and Musicbed music;
• estimated delivery of ten (10) business days for highlights and three (3) business days for ceremony or speech edits.

6.2 Mix and match

You may substitute highlight edits for ceremony or speech edits (each up to thirty minutes) in the following combinations:

• three (3) highlight edits; or
• two (2) highlight edits plus three (3) ceremony or speech edits; or
• one (1) highlight edit plus five (5) ceremony or speech edits.

6.3 Rollover, overage and extensions

Unused requests do not roll over and expire at the end of each monthly billing period.

Additional edits beyond your monthly allowance are charged at standard per-project rates ($400 for highlights and full films; $100 for ceremony and speech edits).

Length extensions are available at the standard add-on rates set out in Section 3.2.

6.4 Queue

Because Wedwill Pro assigns a single dedicated editor, subscription requests are processed sequentially in the same way as fixed-price requests. We recommend submitting requests as weddings are filmed rather than as a single batch at month end.

6.5 Cancellation and pausing

You may cancel at any time by giving notice at least five (5) business days before your next billing date.

You may pause your subscription at any time. Pausing suspends future billing; it does not extend the current billing period, and unused requests do not carry forward.

No refunds are issued for the current billing period.

6.6 Legacy plans

The Culling Pro, Creative Pro, and Cinematic Pro plans have been discontinued and are no longer available for purchase. Existing subscribers on those plans remain on their original terms until they migrate or cancel. We will give thirty (30) days' notice before retiring a legacy plan.

7Revisions

Three (3) revision rounds are included with every project, on both fixed-price services and Wedwill Pro. Revisions are not unlimited.

Additional revisions beyond the included three are charged at $25 each.

Revision requests must be submitted within fourteen (14) days of delivery of the version in question. If no request is received within that period, the version is automatically approved.

Revisions are limited to the scope of the original request. Substantial changes to the brief, including changes to style references, music, footage selection beyond the original scope, or requested output length, may be treated as a new request and charged accordingly.

8Your footage and materials

You must supply footage via a Google Drive or Dropbox link that is download-enabled and remains live until delivery is complete.

Each project includes up to 500 GB of footage. Additional footage is charged at $20 per 100 GB. If your project exceeds 500 GB, please contact hello@wedwill.com before submitting. We may suggest supplying proxies for oversized projects.

You represent and warrant that you own or have all necessary rights to the footage, music, and other materials you supply, and that our use of those materials to perform the Services will not infringe the rights of any third party.

9Ownership and promotional use

Upon full payment, you own the final delivered video and the accompanying project file, subject to the licence terms of any third-party music or assets included.

Wedwill retains ownership of its own tools, templates, presets, and processes.

We may use edited videos in our portfolio, on our website, and on social media for promotional purposes. You may opt out at any time by emailing hello@wedwill.com.

All project communication takes place through the client portal at portal.wedwill.com and through Frame.io for draft review. General enquiries may be sent to hello@wedwill.com.

12Data retention

Footage is retained for thirty (30) days after delivery. Files are deleted thirty-five (35) days after cancellation of your account.

You are responsible for maintaining your own backups. We are not liable for loss of footage after these periods.

13Non-solicitation

You agree not to solicit, hire, or engage any Wedwill employee or contractor, directly or indirectly, for a period of five (5) years following the end of this agreement.

14Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the Services will not exceed the amount you paid for the project or billing period giving rise to the claim.

We are not liable for indirect, incidental, consequential, or special damages, including without limitation losses arising from delayed delivery or from commitments you have made to your own clients.

The Services are provided on an "as is" basis. We disclaim all warranties not expressly stated in these Terms.

15Termination

We may suspend or terminate your access to the Services if you breach these Terms, if payment fails after three attempts, or if you use the Services in a manner that is unlawful or harmful.

You may stop using the Services at any time. Cancellation of a subscription is governed by Section 6.5.

16Changes to these Terms

We may update these Terms from time to time. The current version is always available at wedwill.com, with the last-updated date shown at the top. Material changes to subscription pricing will be notified with five (5) days' notice as set out in Section 3.3.

Continued use of the Services after an update constitutes acceptance of the updated Terms.

17Governing law and dispute resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration in Dallas, Texas.
